General Terms and Conditions<\/h2>\n<\/div>\n\n\n\n
\n

This Templafy SaaS Agreement for Free Trial (the \u201cAgreement\u201d) is entered into by and between the individual receiving the Free Trial Services (\u201cyou\u201d) and the Templafy entity providing the Free Trial Services (\u201cTemplafy\u201d). By accessing or using the Free Trial Services, you agree to the terms of this Agreement.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

1. ACCESS AND USE<\/h2>\n<\/div>\n\n\n\n
\n

1.1            Grant of Access<\/strong><\/p>\n\n\n\n

Templafy grants you a non-exclusive, non-transferable, revocable right to access and use the Free Trial Services solely for your internal evaluation and testing purposes during the Trial Period. The Free Trial Services consist of access to Templafy\u2019s software-as-a-service platform and associated applications during the Trial Period, provided at no monetary charge in consideration of your consent to receive marketing emails from Templafy. You may also purchase a paid subscription without consenting to receive marketing emails by contacting Templafy via the website contact form<\/a><\/strong>. The Trial Period means the duration determined by Templafy for the Free Trial.<\/p>\n\n\n\n

1.2            Restrictions<\/strong><\/p>\n\n\n\n

You agree that you will not, and will not permit any third parties to:
 (i) use the Free Trial Services for any commercial or production purposes;
 (ii) copy, modify, or create derivative works of the Free Trial Services, in whole or in part;
 (iii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make the Free Trial Services available to any third party;
 (iv) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Free Trial Services;
 (v) remove any proprietary notices; or
 (vi) use the Free Trial Services in violation of any applicable law.<\/p>\n\n\n\n

<\/p>\n\n\n\n

1.3            Suspension\/Termination<\/strong><\/p>\n\n\n\n

Templafy may suspend or terminate the Free Trial Services at any time and for any reason, with or without notice.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

2. FEES<\/h2>\n<\/div>\n\n\n\n
\n

You will not be required to pay any monetary fees for use of the Free Trial Services during the Trial Period. No invoice will be issued and you will have no payment obligations relating to the Free Trial Services.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

3. YOUR OBLIGATIONS<\/h2>\n<\/div>\n\n\n\n
\n

3.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You are responsible for ensuring your access and use of the Free Trial Services is in compliance with this Agreement and applicable laws.<\/p>\n\n\n\n

3.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You are responsible for the technical requirements that would enable you to access the Free Trial Services.<\/p>\n\n\n\n

3.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You agree not to share access to the Free Trial Services with any third party.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

4. CUSTOMER DATA<\/h2>\n<\/div>\n\n\n\n
\n

4.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You shall retain and have all ownership, rights, title, and interest in and to, all Customer Data, including AI outputs. Customer Data means any data, content, or materials provided to Templafy by or at your direction through the Free Trial Services and AI outputs. By\u00a0using\u00a0Free Trial Services,\u00a0you grant Templafy an irrevocable, royalty-free, non-exclusive,\u00a0transferable, and\u00a0perpetual\u00a0license\u00a0to\u00a0use Customer Data to: (i) provide and secure the Free Trial Services (incl. sending prompts to LLMs and returning outputs); (ii) comply with law, this Agreement and our policies; (iii) prevent and address fraud, security and technical issues; and (iv) improve the Services, using aggregated and anonymized data where feasible.<\/p>\n\n\n\n

4.2 Templafy processes personal data as a data controller under its Privacy Policies<\/strong><\/a>. For Free Trial Services we may additionally:<\/p>\n\n\n\n

\u200b\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 4.2.1 process email and account identifiers, referral\/campaign and attribution data, device and usage data (incl. IP address, event data, cookie\/online IDs), template\/document names and usage counts, submitted free-text inputs and outputs. Templafy may use this data also for security, analytics and attribution, and targeted in-app messages\/email communications. You can opt out\/unsubscribe at any time, and we do not use such targeting for automated decisions producing legal or similarly significant effects<\/p>\n\n\n\n

\u200b\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 4.2.2 use cookies and similar technologies (e.g., pixels\/tags, SDKs, local storage) for: (i) essential operation and security, (ii) analytics, (iii) marketing and attribution, and (iv) CRM\/lead management, and providers such as Google Analytics, Salesforce, Amplitude, Dreamdata and Clay and some providers may process data internationally.<\/p>\n\n\n\n

4.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You cannot provide third-party personal data and you remain responsible for the content submitted through the Free Trial Services. Free Trial workspaces are single-user and not linked to other users.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

5. AI<\/h2>\n<\/div>\n\n\n\n
\n

5.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Free Trial Services may include integrated, assistive artificial intelligence or machine learning functionality. Use of AI functionalities is optional.<\/p>\n\n\n\n

5.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Templafy does not train any LLMs on Customer Data.<\/p>\n\n\n\n

5.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Templafy identifies AI functionalities through in-product notices and\/or\u00a0documentation\u00a0available at: https:\/\/www.templafy.com\/home\/platform\/security\/security-and-privacy-faq\/#does-the-templafy-platform-leverage-any-ai<\/strong><\/a>.\u00a0<\/p>\n\n\n\n

5.4\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Templafy does not use Customer Data to train any underlying third-party AI models accessible through the Free Trial Services.<\/p>\n\n\n\n

5.5\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 AI outputs may be inaccurate, incomplete, or unsuitable for your intended purpose. You are solely responsible for reviewing and validating any output before relying on or using it.<\/p>\n\n\n\n

5.6\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 You must not use AI functionalities to generate, submit, or process content that is unlawful, infringing, or violates any third party\u2019s rights. You remain solely responsible for all content you submit to or generate through the AI functionalities.<\/p>\n\n\n\n

5.7\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Templafy makes no warranties regarding the accuracy, completeness, reliability, fitness for a particular purpose, or lawfulness of any AI-generated output. To the maximum extent permitted by law, Templafy disclaims liability for any consequences arising from use of AI functionalities.<\/p>\n\n\n\n

5.8\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 AI functionalities are subject to change, suspension, or discontinuation at Templafy\u2019s discretion.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

6. INTELLECTUAL PROPERTY<\/h2>\n<\/div>\n\n\n\n
\n

Templafy retains all rights, title, and interest in and to the Free Trial Services and all software, improvements, enhancements, and modifications thereto.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

7. CONFIDENTIALITY<\/h2>\n<\/div>\n\n\n\n
\n

During the term of the Agreement, either party may disclose confidential information to the other party. The receiving party shall protect the confidentiality of such information with at least the same degree of care as it uses for its own confidential information (but not less than reasonable care) and shall not use it except as permitted by this Agreement.<\/p>\n\n\n\n

8. DISCLAIMER OF WARRANTIES<\/h2>\n<\/div>\n\n\n\n

THE FREE TRIAL SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE\u201d, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TEMPLAFY DOES NOT WARRANT THAT THE FREE TRIAL SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

9. NO SERVICE LEVEL COMMITMENTS<\/h2>\n<\/div>\n\n\n\n
\n

No service levels, credits, support obligations, or uptime commitments apply to the Free Trial Services.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

\n

10. LIMITATION OF LIABILITY<\/h2>\n<\/div>\n\n\n\n
\n

To the maximum extent permitted by applicable law, in no event shall Templafy be liable to you for any indirect, incidental, special, punitive, exemplary, or consequential damages, or for any loss of income, sales, data, profits, revenue, business interruption, or costs of substitute services, however caused and regardless of the theory of liability, arising out of or related to this Agreement or your use of the Free Trial Services, even if Templafy has been advised of the possibility of such damages.<\/p>\n\n\n\n

To the maximum extent permitted by applicable law, Templafy\u2019s total aggregate liability arising out of or related to this Agreement or your use of the Free Trial Services shall be zero (0). Nothing in this Agreement excludes or limits liability to the extent such liability cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud or willful misconduct.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

11. TERM AND TERMINATION<\/h2>\n<\/div>\n\n\n\n

\u200b11.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 This Agreement and your access to the Free Trial Services shall automatically expire at the end of the Trial Period or may be terminated by either party, for any reason, at any time, with or without notice.<\/p>\n\n\n\n

11.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Upon expiration or termination, you agree to immediately cease all use of the Free Trial Services and delete any related materials or components from their computer systems.<\/p>\n<\/div>\n<\/div>\n<\/section>\n\n\n\n

12. GENERAL PROVISIONS<\/h2>\n<\/div>\n\n\n\n
\n

\u200b12.1\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 This Agreement constitutes the entire agreement between the parties with respect to the Free Trial Services and supersedes all prior or contemporaneous understandings regarding its subject matter.<\/p>\n\n\n\n

12.2\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 This\u00a0Agreement will be governed, construed, and enforced\u00a0in accordance with\u00a0the laws\u00a0of New York state, without regard to its conflict of laws rules.\u00a0<\/p>\n\n\n\n

12.3\u00a0 \u00a0 \u00a0 \u00a0 \u00a0 \u00a0 Templafy reserves the right to update or modify this Agreement at any time.
